OFFICIAL RULES

NO PURCHASE IS NECESSARY TO ENTER THE CONTEST. PURCHASE WILL NOT ENHANCE YOUR CHANCES OF WINNING.
PRIVACY NOTICE.

You are providing personally identifiable information at the contest registration page. By entering the contest you are (i) agreeing to provide registration information to Epione Medical Corporation ("Sponsor") as the Sponsor of the contest and, (ii) provided you take advantage of marketing opportunities offered by Sponsor's third-party marketing partners on the contest, "Thank You" pages, or in later e-mail offers delivered by Sponsor, authorizing Sponsor to share your full registration information with its third-party marketing partner(s) for their use in marketing to you. All personally identifiable information that is submitted in connection with the contest shall become the property of Sponsor and may be used by Sponsor in the future for marketing or other purposes. Please review Sponsor's privacy policy in order to see how they treat personally identifiable information. If you take advantage of marketing opportunities offered by one or more of Sponsor's third-party marketing partners, your submitted personally identifiable information will also become the property of such third-party marketing partners, and we recommend that you review each of the marketing partners' privacy policies to understand how they treat such information.

1) Terms.
From January 1, 2008, through December 31, 2008, Sponsor will conduct an online contest allowing eligible individuals to enter to win the prize set forth below. Only one entry per person and/or per e-mail address will be accepted for the duration of the contest, excepting bonus entries as set forth in Paragraph 3 below. False or deceptive entries or acts will render the entrant ineligible. All entries become the property of Sponsor and will not be returned. Deadline to enter is 11:59 p.m. (PST), December 31, 2008. SPONSOR RESERVES THE RIGHT TO MODIFY SCHEDULING OF THE CONTEST WITHOUT PRIOR NOTICE. SPONSOR RESERVES THE RIGHT TO TERMINATE OR SUSPEND THE CONTEST WITHOUT NOTICE, AT ANY TIME AND FOR ANY REASON.

2) Eligibility.
You are eligible to enter the contest if you are: (1) A U.S. CITIZEN OR LEGAL RESIDENT OF THE UNITED STATES AT ALL TIMES DURING THE CONTEST; (2)18-YEARS OLD OR OLDER AT TIME OF ENTRY; (3)NOT AN EMPLOYEE, AGENT, AFFILIATE, OFFICER OR DIRECTOR OF SPONSOR OR OF ANY ADVERTISER, PROMOTION AGENCY, FULFILLMENT AGENCY OR AGENT OF SPONSOR; (4) NOT A RELATIVE OF AN EMPLOYEE, AGENT, AFFILIATE, OFFICER OR DIRECTOR OF SPONSOR OR OF ANY ADVERTISER, PROMOTION AGENCY, FULFILLMENT AGENCY OR AGENT OF SPONSOR; AND (5)HUMAN - ANY USE OF ELECTRONIC DEVICES TO ENHANCE OR ALTER YOUR ODDS OF WINNING WILL AUTOMATICALLY DISQUALIFY YOU. VOID WHEREVER PROHIBITED BY LAW. CONTEST IS SUBJECT TO ALL FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS. Sponsor may require winners to provide proof that they are the authorized account holders of the e-mail addresses used to enter the contest. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet service provider, online service provider, or organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the e-mail address. Any winner who does not comply with the Official Rules will be disqualified. Return of any prize or prize notification as "undeliverable" will result in disqualification and an alternate winner may be selected. Ineligible entrants may be disqualified at any time at the sole discretion of Sponsor.

BY ENTERING THE CONTEST, PARTICIPANTS UNCONDITIONALLY AGREE TO ACCEPT AND BE BOUND BY ALL TERMS OF THESE OFFICIAL RULES AND THE DECISIONS OF THE SPONSOR. To enter the contest: 1) individuals may submit their e-mail address, first name, last name, street address (including city, state, and ZIP code), phone number, and birth year via the Enter to Win a $5000 gift certificate web page served by Sponsor, AND confirm their entry by clicking on the contest link in the confirmation e-mail delivered to their e-mail address. By entering the contest, entrants agree to receive, from time to time, the Epione.com Update e-mail newsletter and the Epione.com Deals e-mail newsletter (together, the "Newsletters"), each of which may include opportunities to join and/or participate in services or programs that are offered by other, third-party marketing partners of Sponsor. Provided entrant takes advantage of a marketing opportunity offered by Sponsor's third-party marketing partners, entrant agrees that Sponsor may share entrant's registration information with these third-party companies. Any of the entrant's dealings with such third-party marketing companies or participation in promotions offered by such third-party marketing companies, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between entrant and the third-party marketing company. Sponsor shall not be responsible or liable for any part of any such dealings or promotions. Additionally, if you enter the contest via an "Enter to Win a $5000 gift certificate" banner, you may receive a contest confirmation e-mail that includes a confirmation link. To complete your contest entry and confirm your agreement to receive the Newsletters, you must click on the contest confirmation link. After confirming your entry, you may, at any time, opt-out of receiving the Newsletters by following the opt-out instructions contained in the Newsletters you receive.

4) How to Win.
Contest winner will be randomly chosen by a representative of Sponsor (the "Judge") on or about January 31, 2008, from all eligible entries received during the dates specified above. The decisions of the Judge will be final and binding. The odds of winning will depend on the total number of eligible entries received. The winner will be notified by e-mail or telephone within ten (10) days of the drawing and must meet all eligibility requirements including the execution and return of all necessary releases.

5) Prizes.
a) There will be one Grand Prize for the contest, consisting of a $5000 gift certificate redeemable toward any procedures at Epione Beverly Hills, awarded to one contest participant. The Grand Prize winner will be chosen randomly from among all valid entries received during the term of the contest. The Grand Prize will be delivered to the Grand Prize winner's home address. In the event Sponsor is unable to send the Grand Prize directly to Grand Prize winner's home address due to postal restrictions or other circumstances beyond the control of Sponsor, or if the described Grand Prize is otherwise unavailable for any reason whatsoever, Sponsor reserves the right to substitute a prize of like value. The Grand Prize is not redeemable for cash and is for one time use only. The winner will not be credited any remaining balance for any unused portion of the prize at time of visit. The winner is not entitled to any alternative prizes and the prize is nontransferable
b) Fulfillment of the prize package is restricted to specified dates to be determined. Other restrictions may apply. Any prize or prize certificate not claimed within 48 hours of winning will be forfeited by the winner. In the event that a prize or prize certificate is mailed to the winner, winner assumes the risk of its arrival. Epione is not responsible for the safe arrival of a prize or prize certificate.

6) Construction.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any participant and Sponsor, shall be governed by, and construed in accordance with the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than California. All claims relating to the contest must be brought in the federal or state courts located in California, which shall have exclusive jurisdiction and venue over such claims. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. If any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

(a) Contest Sponsor is not responsible for technical or computer failures, errors or data loss of any kind, lost or unavailable Internet connections, or failed, incomplete, garbled or deleted computer or network transmissions, which may limit the ability to play or participate in the contest. All entries become property of the Sponsor and will not be returned.
(b) Participants are eligible to win an Epione contest only once every year. Only one winner per household is permitted in any contest.
(c) Participants are eligible to win a prize valued at $500.00 or more only once every twelve months.
(d) By entering,a entrants agree to abide by these rules, and warrant and represent that their entry is their original work, and grant to Epione the right to edit, publish, promote and otherwise use their entries without further permission, notice or compensation.

7) Conditions
(a) Decisions of contest Sponsor with respect to the contest are final.
(b) Payment of all federal, state and local taxes are the sole responsibility of the winner and winners may receive an IRS Form 1099 or equivalent from Epione.
(c) By participating in the contest, the winner(s) agrees to have his or her name, voice, or likeness used in any advertising or broadcasting material relating to this contest and to sign a publicity release, affidavit of eligibility, and release of liability prior to acceptance of the prize. By accepting the prize, each winner grants to Sponsor the right to use the winner's name, voice, picture and/or likeness for purposes of advertising and publicity in any and all media now known or hereafter invented, without further permission or additional compensation, except where prohibited by law. Participants also agree to be contacted by Sponsor and receive marketing and promotions from Sponsor. Winner, by acceptance of their prizes, agree to release Epione Medical Corporation, Dr. Simon Ourian, their respective parents and subsidiaries, and their respective advertising, promotion and production agencies from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons and property which may be sustained in connection with the receipt, ownership or use of the prize or while preparing for, participating in, and/or traveling to any prize-related activity. Void where prohibited by law.

8) Changes:
Contest Sponsor reserves the right to make changes to the rules of the contest, which will become effective upon announcement. In the event of a misunderstanding, dispute or human error, Epione management will make the final determination of the prize winner. By entering this contest, contestants agree to be bound by these rules and any Epione management decisions concerning the contest.
The contest is void where prohibited or deemed medically unsafe.

9) Disqualification
Failure to comply with the contest rules may result in a contestant's disqualification.
